Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Strategic Products LLC, a Florida limited liability company doing business as RelayPDF (“RelayPDF,” “we,” “us,” or “our”). They govern access to and use of relaypdf.com, api.relaypdf.com, the dashboard, REST API, official SDKs, CLI, MCP server, n8n node, Zapier app, documentation, and related services (collectively, the “Service”). By creating an account, calling the API, or otherwise using the Service, you agree to these Terms, the Privacy Policy, and the Data Processing Addendum. If you do not agree, do not use the Service.

1. Acceptance of Terms

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. You must be able to form a binding contract. The Service is not offered to anyone under 18, or under the age of majority in their jurisdiction if that age is higher.

We may refuse, suspend, or terminate access where these Terms are violated, where required by law, or where continued use would harm the Service, other customers, or third parties.

2. The Service

RelayPDF is a commercial document API. You send HTML, Markdown, URLs, Office files, images, PDFs, or published Handlebars templates. The Service returns production PDFs, images, barcodes, zip archives, or converted files. Surfaces include REST, the official Node/TypeScript, Python, PHP, C# / .NET, and Java SDKs, the relaypdf CLI, MCP, the n8n community node, and the official Zapier app.

2.1 What is included

Current generating and tool endpoints include HTML/URL/Markdown/template to PDF, HTML or URL to png/jpeg/webp, PDF merge, extract, protect, unlock, bookmarks, stamp, rotate, delete-pages, compress, raster, images-to-PDF, info, text extract, form fill, barcodes, zip, LibreOffice and wkhtmltopdf conversion, stored templates (draft, publish, gallery, preview, and optional AI generate/edit), async jobs, 24-hour file downloads, account and usage metadata, customer webhooks, and a prepaid wallet.

2.2 What is not included

The Service does not include OCR or structured PDF data extraction (invoice parser / document templates), an official Make app, team or organization workspaces, SSO beyond Clerk, white-label, or a self-hosted edition, unless we later add those features and describe them in the documentation. Extracting an existing PDF text layer and filling AcroForm fields are included. The official Zapier Platform app is included; public directory listing may follow Zapier review.

2.3 Changes

We may add, change, or discontinue features. We will not silently break the locked public API described in the documentation. New endpoints may be added. We do not guarantee uninterrupted operation, and planned or unplanned downtime can occur.

3. Accounts, authentication, and API keys

You must provide accurate registration information, including name and email when requested, and keep it current. Authentication is provided by Clerk. You are responsible for all activity under your account, dashboard sessions, device logins, and API keys.

3.1 API keys

API keys are secrets. They are hashed at rest and shown in full only at creation. Do not commit keys, paste them into chat, or share them. Revoke a key immediately from the dashboard if it leaks. We will not ask you to paste an API key; use `relaypdf setup` or `relaypdf login` and approve in the browser.

3.2 One account

You may not create extra accounts to evade rate limits, wallet rules, suspensions, or these Terms. We may consolidate, suspend, or close related accounts.

3.3 Security incidents

Notify us promptly at security@relaypdf.com if you believe your account or keys were compromised.

4. Acceptable use

Use the Service only for lawful purposes and in line with these Terms and the documentation. You are solely responsible for content you submit, including HTML, fetched URLs, uploads, templates, and template data, and for the documents you generate.

4.1 Prohibited content and activities

You agree not to use the Service to:

  • Violate law, including fraud, identity theft, phishing, or generating fake credentials, IDs, or other deceptive documents for unlawful purposes
  • Infringe intellectual property, privacy, or publicity rights
  • Process highly regulated or sensitive data unless you have a lawful basis and the Service is appropriate for that use (the Service is general-purpose document infrastructure, not a HIPAA, PCI, or similar certified environment unless we expressly agree in writing)
  • Probe, scan, or attack the Service; bypass authentication, rate limits, or SSRF protections; or attempt to reach private networks through URL fetch
  • Reverse engineer the Service except as allowed by law
  • Resell, white-label, or provide the Service to third parties as your own product without our written consent
  • Overload the Service with abusive traffic, malware, or unbounded crawls
  • Interfere with other customers’ use of the Service

4.2 Your documents

We do not review every payload. We may refuse, suspend, or delete jobs or accounts that appear to violate these Terms or the law, and we may preserve or disclose information where required by legal process.

5. Wallet, pricing, and billing

RelayPDF is prepaid. There is no monthly seat subscription. You keep a USD wallet. Successful operations debit the wallet. Failed operations are not billed.

5.1 Trial credit

New accounts typically receive trial wallet credit (currently $5 unless we state otherwise). Trial accounts are subject to lower rate limits. Trial credit has no cash value and is not transferable.

5.2 Top-ups and bonuses

You add funds through Stripe Checkout using published top-up packs or a custom amount within the allowed range. Pack bonuses, if any, are shown before you pay. Auto-reload, if you enable it, charges a saved payment method when the balance falls below your threshold. If the reload amount matches a pack, that pack’s bonus applies.

5.3 Rates and limits

Per-operation rates and pack bonuses are set in the dashboard and on /pricing and may be changed for future usage. Current launch rates (unless overridden) include HTML/image/template jobs, convert, wkhtml, PDF tools, and AI template generation. Rate limits currently distinguish trial versus funded or auto-reload accounts. Burst limits also apply. We may throttle or reject traffic that threatens platform stability.

5.4 What is billed

A job is billed only when the operation succeeds. Credits, refunds of wallet debit, or retries after a failed job are handled so that a failed operation does not consume wallet funds. Wallet credits from top-ups are generally non-refundable except where required by law. Chargebacks or payment disputes may result in suspension equal to the disputed amount plus related costs.

5.5 Stripe

Payments are processed by Stripe. We do not store full card numbers. By paying, you also agree to Stripe’s terms. Invoices, cards, and the customer portal are provided through Stripe where enabled.

5.6 Taxes

Fees are stated in USD. You are responsible for taxes that apply to your purchases, except taxes based on our net income. We may collect tax where required.

6. Customer content, privacy, and retention

Your payloads and outputs are your content. We process them to provide the Service. Details are in the Privacy Policy and DPA. In summary:

Optional AI template generation sends prompts and related content to an AI provider to produce or edit HTML. Do not send secrets or data you are not allowed to process that way.

  • We do not log full HTML, Markdown, file bytes, or template data in operational logs
  • Generated files stored for URL or async download are deleted automatically after 24 hours
  • Binary responses are returned in the HTTP response and are not kept as a durable download unless you requested a stored file
  • Saved templates (layouts you create or generate) persist in your account until you delete them or the account is closed
  • You must have a lawful basis for any personal data you submit, including data in HTML, URLs, Office files, and templates

7. Intellectual property

We and our licensors own the Service, including software, documentation, trademarks, and the RELAYPDF name and R-block mark. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and official client libraries for your internal business purposes under these Terms.

You retain ownership of content you submit and documents you generate. You grant us a limited license to host, process, transmit, and store that content solely to operate, secure, and support the Service.

Feedback you send may be used to improve the Service without obligation to you.

9. Suspension and termination

You may stop using the Service and request account closure at any time by contacting support. We may suspend or terminate immediately for Terms violations, unpaid negative balance after a failed auto-reload, abuse, legal risk, or non-payment.

On closure, API access ends, keys are revoked, and we delete or anonymize customer content as described in the Privacy Policy, except records we must keep for billing, security, or law. Unused prepaid credit is not refunded except where required by law.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that outputs will match a specific printer, browser, or accessibility target, that URL fetches will succeed, or that the Service will be error-free or uninterrupted.

You are responsible for validating PDFs and other outputs before you send them to customers, courts, or production systems.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAYPDF AND ITS AFFILIATES, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Trial credit and complimentary usage have no cash value for this cap.

These limits do not apply to liability that cannot be limited under Florida or other applicable law, including liability for our willful misconduct where such a limitation is prohibited.

12. Indemnification

You will defend, indemnify, and hold harmless Strategic Products LLC and its officers, employees, and contractors from claims, damages, and reasonable legal fees arising from your content, your use of the Service, your violation of law or these Terms, or your infringement of a third party’s rights.

13. Export, sanctions, and local law

You may not use the Service if you are on a U.S. sanctions list, located in an embargoed jurisdiction, or otherwise prohibited from receiving U.S. commercial software or cloud services. You are responsible for local law that applies to your documents and personal data, including cross-border transfers you initiate by sending content to the Service.

14. Government requests

We may disclose account or job metadata when required by law, court order, or valid legal process. Where legally permitted, we will try to notify you. Report abuse of the Service to support.

15. Changes

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Material changes take effect after posting, or on the date we specify. Continued use after that date is acceptance. If you do not agree, stop using the Service and request account closure.

16. Governing law and venue

These Terms are governed by the laws of the State of Florida, excluding conflict-of-law rules. Exclusive venue for disputes is the state courts located in Sarasota County, Florida, or the United States District Court for the Middle District of Florida, and you consent to personal jurisdiction there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

17. Miscellaneous

These Terms, plus the Privacy Policy, DPA, and any written order we counter-sign, are the entire agreement. If a provision is unenforceable, the rest remains in effect. You may not assign the agreement without our consent; we may assign it in connection with a merger, reorganization, or sale of assets. Failure to enforce a provision is not a waiver. There are no third-party beneficiaries except as stated for indemnified parties.
